Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using the VOCtool service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

VOCtool provides a software platform for businesses to collect, manage, and route customer feedback, surveys, and reviews. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

3. Third-Party Platform Compliance

Our Service allows you to generate links and route customers to third-party review platforms, including but not limited to Google Business Profile, Yelp, Facebook, and TripAdvisor.

User Responsibility: You explicitly agree that your use of VOCtool to route or request reviews will fully comply with the Terms of Service, Acceptable Use Policies, and Review Guidelines of the respective third-party platforms. For example, you agree not to use VOCtool to engage in "review gating" (selectively soliciting positive reviews while suppressing negative ones) if doing so violates the policies of a platform such as Google.

VOCtool is not responsible or liable if your business listing on a third-party platform is penalized, suspended, or terminated due to your violation of their policies.

4. Acceptable Use Policy

When using our Service, you agree NOT to:

  • Generate fraudulent, fake, or incentivized reviews that violate FTC guidelines or third-party platform rules.
  • Send unsolicited messages or spam to consumers.
  • Use the Service to collect sensitive personal information (such as health data or social security numbers) through custom feedback forms.
  • Attempt to interfere with, disrupt, or compromise the system integrity or security of the Service.

5. Subscriptions, Payments, and Refunds

Portions of the Service are billed on a subscription basis. You will be billed in advance on a recurring schedule depending on your selected plan. Payments are processed securely via Stripe. If a payment fails, your access to the premium features of the Service may be suspended. Subscriptions may be canceled at any time, but we do not offer refunds or credits for partial billing periods.

6. Affiliate Program

If you participate in our Affiliate Program, you agree to receive commission payouts exclusively via Stripe Connect. You are solely responsible for:

  • Providing accurate banking and payout information.
  • Complying with all applicable local, state, and federal tax regulations regarding your earnings.
  • Not engaging in spam, deceptive advertising, or bidding on our branded keywords to generate affiliate clicks.

We reserve the right to suspend or terminate your affiliate account and withhold payouts if we suspect fraudulent activity or a violation of these Terms.

7. Indemnification

You agree to defend, indemnify, and hold harmless VOCtool, its officers, directors, employees, contractors, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service;
  • Your violation of any term of these Terms, including the Acceptable Use Policy;
  • Your violation of any third-party right, including without limitation any privacy, intellectual property, or platform terms of service (such as Google or Yelp);
  • Any claim that your use of the Service caused damage to a third party.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VOCTOOL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that the results obtained from the use of the Service will be accurate or reliable.

9. Limitation of Liability

IN NO EVENT SHALL VOCTOOL, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN.

IN NO EVENT WILL VOCTOOL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO VOCTOOL IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
